1) Who We Are

2) Acceptance of Terms

By accessing our site or engaging our services (proposal acceptance, invoice payment, or form submission), you agree to be bound by these Terms and our Privacy Policy and Refund Policy.

3) Definitions

  • Client/You: The business or person entering into a contract with us.
  • Services: Performance marketing services, including strategy, ads management, creative production, landing pages, analytics, CRM and automation setup, and related consulting.
  • Third‑Party Platforms: Tools and networks like Google, Meta, Razorpay, WhatsApp Business Providers, analytics, CRMs, and hosting providers.

4) Services Scope & Deliverables

We provide the Services described in our proposals/SoWs/invoices. Any items not expressly listed are out of scope. Scope changes may impact timelines and fees and must be agreed in writing.

5) Performance Disclaimer

Marketing outcomes depend on factors beyond our control (product‑market fit, budgets, competition, seasonality, approvals, platform policies, etc.). We do not guarantee specific leads, revenue, or ROI.

6) Fees, Taxes, and Payment Terms

  • All fees are quoted before applicable taxes and government levies.
  • Ad spend, media buying, third‑party tool fees, and payment gateway charges are separate from our service fees and billed to you or paid directly by you unless stated otherwise.
  • Invoices are due upon receipt unless a different due date is specified. Late payments may attract interest at 1.5% per month (or the maximum permitted by law), plus recovery costs.

Refund Timeline Notice (Razorpay Requirement)

Refunds: If eligible, refunds will be processed within 5–7 working days, and the credited amount will reflect in the customer’s bank account depending on their issuing bank’s policies.

7) Chargebacks & Disputes

If you believe a charge is incorrect, contact us at billing@upgromedia.com within 7 days. Unauthorized chargebacks without first attempting resolution may be considered breach of contract.

8) Your Responsibilities

Provide timely information, approvals, and access (ad accounts, analytics, CRM, hosting, domains, business manager IDs, brand assets). Delays on your side extend timelines and do not create refund eligibility.

9) Content, Licenses & Intellectual Property

  • Your Materials: You grant us a non‑exclusive license to use your logos, brand assets, content, and trademarks solely to deliver the Services.
  • Our Materials: We retain all rights in our pre‑existing tools, processes, templates, and know‑how.
  • Deliverables: Upon full payment, you receive a non‑exclusive, perpetual license to use final deliverables for your business. We may showcase non‑confidential work in our portfolio and case studies unless you opt out in writing.

10) Compliance & Third‑Party Policies

You are responsible for the truthfulness and legality of your claims and offers. We comply with relevant advertising policies and laws but cannot ensure third‑party approvals (e.g., ad disapprovals, account restrictions).

11) Confidentiality

Both parties will keep confidential information secret and use it only to perform under these Terms, subject to legal obligations.

12) Non‑Solicitation

For 12 months after the engagement, you will not solicit or hire our employees/contractors who worked with you, without our written consent.

13) Term, Suspension & Termination

  • We may suspend Services for non‑payment, policy violations, or unlawful content.
  • Either party may terminate on 15 days’ written notice (or as per the SoW). Fees for Services already rendered and committed costs remain due.

14) Limitation of Liability

To the maximum extent permitted by law, our total liability for all claims in any 12‑month period shall not exceed the fees paid by you to us for the Services giving rise to the claim. We are not liable for indirect, incidental, punitive, or consequential damages, loss of profits, data, or goodwill.

15) Indemnity

You will indemnify and hold us harmless against claims arising from your content, products, unlawful advertising, or breach of these Terms.

16) Force Majeure

We are not liable for delays or failures due to events beyond reasonable control (e.g., platform outages, cyber incidents, natural disasters, regulatory actions).

17) Governing Law & Jurisdiction

These Terms are governed by the laws of India. Courts at Lucknow, Uttar Pradesh shall have exclusive jurisdiction.

18) Changes to Terms

We may update these Terms at any time. Continued use of the site/services after changes constitutes acceptance. The latest version will be posted on this page with the “Effective Date” above.
